Evaluating PFAS Treatment Vendor Financial Stability and Service Continuity

A PFAS treatment system is a long-term operational commitment — typically 15–25 years for infrastructure, with ongoing media supply, regeneration services, and technical support requirements throughout that life. A vendor that becomes financially distressed or exits the market mid-contract leaves the water system without a service partner at a critical moment. Financial stability evaluation is a necessary component of vendor due diligence.

Assessing Financial Health Before Contract Award

For privately held vendors, request the past three years of audited financial statements or, at minimum, reviewed financial statements prepared by a CPA firm. Key indicators of financial distress include declining revenue, negative operating margins, high debt-to-equity ratios, and qualified audit opinions. A vendor that is unwilling to provide financial documentation raises a significant red flag regardless of technical capability.

For publicly traded parent companies, review SEC filings (10-K annual reports) for risk factor disclosures related to PFAS regulatory liability, ongoing litigation, and supply chain vulnerabilities. Some large PFAS treatment technology providers have parent companies with significant legacy PFAS manufacturing exposure, which may create financial risk that could affect subsidiary service capacity.

Service Continuity Provisions and Contingency Planning

Include service continuity provisions in the contract that address what happens if the vendor undergoes a change of control, bankruptcy, or exits the PFAS treatment business. Key provisions include assignment restrictions (requiring your consent for contract assignment to a successor), step-in rights that allow the water system to engage an alternative service provider at the vendor’s cost if service is interrupted, and escrow of proprietary operating documentation so that a replacement vendor can maintain the system.

Negotiate for media interoperability where technically feasible — specifying media by performance characteristics rather than a single vendor’s proprietary product reduces dependency on any single supplier. For technologies where proprietary media is unavoidable, require the vendor to maintain a minimum spare media inventory at your facility or at a regional depot within a defined distance.

Documenting your financial stability evaluation process and the due diligence steps taken before vendor selection demonstrates prudent management practice and supports your organization’s position if vendor performance issues arise and contract remedies must be pursued.
